Public Offer to Enter into a Donation Agreement
National Research University Higher School of Economics (hereinafter, the “Donee”, or “HSE”) is hereby making a proposal (hereinafter, the “Offer”) to individuals of legal age who are duly authorized and qualified to accept said Offer, as per the legislation of the Russian Federation, (hereafter, the “Donor”) to enter into a donation agreement as follows:
1. Key provisions
1.1. This is a public offer pursuant to p.2 of Article 437 of the Russian Civil Code.
1.2. This Offer shall be effective from the next day following its publication on the HSE website at https://spasibo.hse.ru/en/ (hereinafter, the “Website”).
1.3. This Offer does not have an expiry date.
1.4. The Donee may modify or amend the Offer at any time, and these modifications and amendments shall be effective from the next day following their publication on the Website (except for clauses in relation to the designated use of the donation - p. 2.1 hereof).
1.5. If 1 (one) or more provisions hereof are declared void, all other provisions shall nevertheless remain effective.
1.6. The Donor must carefully read this Offer before making a donation.
1.7. The Donee’s Offer shall be deemed fully and unconditionally accepted, as soon as the Donor transfers a donation as per the terms and procedures specified in p. 3 hereof. The Donee’s acceptance thus implies that he/she agrees with all of this Offer’s provisions and undertakes to follow them. Once the donation is credited to the Donee’s settlement account, this Offer shall be considered a donation agreement (hereinafter, the “Agreement”).
1.8. Donations shall be made pursuant to Art. 582 of the Civil Code of the Russian Federation and Federal Law No. 135-FZ “On Charity and Charity Organizations”, dated August 11, 1995.
2. Subject of the Agreement
2.1. At his/her own discretion, the Donor shall transfer a non-repayable donation, which shall be used to facilitate HSE’s activities performed under its Charter. Funds shall be transferred as per the procedure set forth herein. The Donor may donate any amount at his/her own discretion.
3. Donation transfer procedure
3.1. The Donor may use one of the following methods to make a donation to HSE:
3.1.1. payment by bank transfer to the Donee’s bank account (refer to bank details in p. 7 hereof);
3.1.2. online payment by credit/debit card (VISA or MasterCard): after clicking the “Make a donation” button, you will be referred to a Sberbank payment gate. Please follow this link for further details about the method of payment: https://spasibo.hse.ru/part.
3.2. If the Donor chooses to make a donation via bank transfer, he/she must indicate the following purpose of payment on the payment order: “Donation to support HSE’s activities performed under its Charter” (in Russian: «Пожертвование на уставную деятельность НИУ ВШЭ»).
3.3. When making the transfer, the Donor may specify the purpose of payment in more detail (e.g., a donation in favor of a specific HSE subdivision, indicating its name on the payment order).
3.4. If the HSE subdivision is not specified on the payment order, or if an incorrect name is provided, the Donee shall be entitled to use the donation at its own discretion (for one of the purposes as established in the HSE Charter).
4. Use of donation
4.1. The Donee undertakes to use the donation in strict compliance with the purposes set forth in p. 2.1, and in view of pp. 3.3 and 3.4 hereof.
4.2. The Donee shall keep separate records with respect to the use of the donations in accordance with accounting and tax rules and standards stipulated by the legislation of the Russian Federation.
4.3. The Donee shall store all primary documentation related to the use of donations for 3 (three) years.
5. The Parties’ responsibilities and dispute resolution
5.1. The Parties are hereby liable for their failure to fulfil, or inadequate fulfilment, of their obligations hereunder as per the legislation of the Russian Federation.
5.2. Any disputes and controversies arising from, or in relation to, the execution of this Agreement shall be resolved by the Parties through negotiations. A response to a claim sent by 1 (one) of the parties shall be provided within 15 (fifteen) calendar days. Any disputes and controversies that cannot be resolved through negotiations shall be thusly referred to court in accordance with the legally prescribed procedures of the Russian Federation.
6. Miscellaneous
6.1. The Donor shall accept the provisions set forth herein by entering into the Agreement in its entirety (as per Art. 428 of the Civil Code of the Russian Federation). By carrying out the actions stipulated in this Offer, the Donor hereby confirms that he/she has familiarized his/herself with the activities performed by the Donee, is fully aware of the consequences of his/her actions, is fully authorized to conduct such actions, and accepts all provisions of this Offer.
6.2. The Donor’s personal data, which has become known to the Donee as the result of this Agreement’s conclusion, may be processed without obtaining the Donor’s special permission if this is required in order to properly execute the Agreement hereof.
6.3. The Donee may store (in archives) and compile documents and personal data (e.g., through electronic (digital) documents (originals and copies) and in electronic databases).
6.4. The Donee shall ensure the proper protection of the Donor’s personal data in compliance with the legislation of the Russian Federation.
6.5. This Agreement shall be interpreted and regulated in accordance with the substantive and procedural legislation of the Russian Federation.
